What you need before you start
Keep Digital Signature Certificates (DSC) for all proposed directors, Director Identification Number (DIN) or willingness to apply for one, PAN and Aadhaar of directors, proposed company name options, registered office address proof, and the Memorandum and Articles of Association (MOA/AOA).
Step by step
- Obtain Digital Signature Certificates for all proposed directors.
- Visit the MCA portal and access the SPICe+ Part A for name reservation (up to 2 name options).
- Once the name is approved, complete SPICe+ Part B with incorporation details, director information and registered office address.
- Attach MOA (SPICe+ MOA) and AOA (SPICe+ AOA) electronically.
- Apply for PAN, TAN, EPFO, ESIC and GST registration within the same form (AGILE-PRO-S).
- Pay the applicable stamp duty and registration fees online.
- Submit the form with DSC; the Registrar of Companies reviews and approves.
- Receive the Certificate of Incorporation along with PAN and TAN.

What to do if it goes wrong
If the Registrar raises a resubmission query (RSUB), the discrepancy must be corrected and resubmitted within 15 days, otherwise the application is rejected and fees may need to be paid again.
